Job description: In-House General Counsel


The General Counsel (GC) sets and implements StrataCore’s legal vision and strategy. The GC will drive, craft, and manage excellence throughout the organization for each of StrataCore’s legal disciplines: Agreement Negotiations, Contracting, Risk Mitigation, Contract Management, M&A, HR, and Contract Enforcement. This person will provide a voice and advocate for legal best practices as an active leader in the StrataCore executive team and executive strategy group.
 
As part of StrataCore’s Executive team, and in collaboration with business unit leaders and other stakeholders, this individual will drive organizational strategy and implementation for all legal related matters. This individual will help to create and evolve StrataCore’s legal duties, ensuring that it is aligned with StrataCore’s overall business goals and initiatives to ensure it meets the needs of our customers, employees and shareholders.

Job Duties


The General Counsel reporting to the Chief of Staff, will manage and provide counsel for all aspects of StrataCore’s legal matters.

Job duties include:

  • Redlining and negotiating Agency Agreements with IT service providers to ensure revenue continuity, risk mitigation, and non-circumvention
  • Redlining and negotiating commercial terms between End Users (our clients) and service providers to incorporate industry best practices, market leading pricing & SLAs, and optimal client flexibility
  • Advising the Leadership Team on various legal matters including how new or existing laws may apply to or impact our business
  • Enforcing contracts and ensuring payments, including winning judgements and post judgement collections
  • Lead legal issues related to HR
  • Maintain mastery and organization of the company’s legal operations and legal documents
  • Lead and oversee the legal components of M&A transactions with the assistance of outside counsel
  • Liaise with outside counsel when required on behalf of StrataCore

 

Experience


Experience in the following areas is preferred:

  • Previous experience as In-house legal for a technology company ranging between 50-2000 employees, or  
  • Experience working at an established law firm focused on technology transactions, employment, and general corporate law  
  • Experience negotiating agreements related to IT Services Procurement (e.g., Telecommunications, Cloud, Cyber Security and/or IT Infrastructure)
  • Evergreen residual commission agreements
  • Software licensing, “white-labeling,” and revenue-sharing transactions
  • Ensuring best practices with employment practices and leading all legal matters related to HR

 

 

Qualifications


  • Seven or more years of relevant experience in technology and business transactions
  • Licensed to practice law in the State of Washington
  • Graduate from a top 100 law school
  • Excellent communication skills
